Silver Lake– and Intel-backed FPGA chipmaker Altera said its parent confidentially submitted a draft Form S-1 for a proposed US IPO; share count and price are not set. A prior Reuters exclusive said a raise could top $2 billion.

Chipmaker Altera said Tuesday that its parent company has confidentially submitted a draft registration statement on Form S-1 with the U.S. Securities and Exchange Commission for a proposed public offering of common stock, Reuters reported. The company confirmed the step in a Business Wire release.

The number of shares and the price range have not been determined. Any offering remains subject to SEC review and market conditions. Because the filing is confidential, detailed financials are not yet public.

Altera sells field-programmable gate arrays (FPGAs), reconfigurable chips used in data centers, AI systems, communications networks, and embedded gear. The company describes itself as the largest pure-play FPGA provider. Silver Lake holds a controlling stake after buying 51% from Intel in a deal that valued Altera at about $8.75 billion; Intel retained a 49% stake. Middle East fund MGX has been reported as a co-investor in that transaction.

Last week, in a separate exclusive, Reuters reported that Silver Lake– and Intel-backed Altera was preparing an IPO that could raise more than $2 billion as early as this year. That figure is from the prior report. Today’s company announcement and Reuters filing story do not set a raise size.

This brief covers the confidential S-1 submission as announced. It does not treat the prior “$2 billion-plus” report as the filing’s stated terms.
